THE BEN & JERRY’S ADVISORY PANEL - TERMS & CONDITIONS
1 - OVERVIEW:
Ben & Jerry’s is looking for real, energetic, enthusiastic, Super Fans who will participate in the Ben & Jerry’s Advisory Board for one (1) year! We are putting together a group of enthusiastic, euphoric-driven fans to create the first official Ben & Jerry’s Advisory Board (the “Board”). As a Board member, you will have access to secret insider information on future flavours and marketing programs. We want you to help us discover new, inspired ice cream ideas that will create more flavour fanatics like you.
We are seeking twelve (12) candidates between the ages of 20 – 29 to be on the Ben & Jerry’s Advisory Board .
Terms & Definitions:
Application – a complete application consists of submitting an Application Information Form, Essay responding to the five (5) questions in section #2 below and a Video as defined in section #2 below (all combined make the “Application”). Your application submission must be complete and contain the Information Form, Essay and Video in order to be considered for review by Ben & Jerry’s.
Participant – a person who submits an Application for review by Ben & Jerry’s team to be a part of the Ben & Jerry’s Advisory Board.
Panellist – is a Participant who has been selected by Ben & Jerry’s team to be a member of the Ben & Jerry’s Advisory Board. There will be a total of twelve (12) Panellists.
Sponsor – is Unilever UK Limited, distributor of Ben & Jerry’s ice cream in UK.
2 - HOW TO SUBMIT AN APPLICATION:
Sponsor will be accepting Applications for the Advisory Board beginning on February 3, 2012 through March 5, 2012 (“Application Submission Period”). All Applications must be received by 5:00 pm UK time (“GMT”) on March 5, 2012. No applications will be accepted after this time.
Go to www.benjerry.co.uk/advisoryboard to summit the application. Complete the registration page including your name, date of birth, mobile phone number address, city, state, postcode, and email address and follow the instructions on how to answer the essay questions and upload your video. You will receive a thank you message once your entry has been submitted.
Entry submission must be in English. There is a limit of one (1) entry submission per Participant. If not enough eligible qualified applications are received during the Application Submission Period the Sponsor may extend the deadline for receipt of Applications. Should the Application Submission Period be extended a notice will be posted at www.benjerry.com/company/advisory.
The submission shall be the Participant’s own work. By submitting their Application each Participant warrants that their submission shall not have been previously published or exploited in any part and will not infringe any copyright, trade mark, right of privacy, right of publicity or personality or any other right whatsoever of any third party.
Each submission:

must be suitable for display and publication online and should not be obscene or indecent (including but not limited to nudity, pornography or profanity), it must not contain defamatory statements or words or symbols that are offensive either generally or to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group. It must not include threats to any person, place, business or group, it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate applicable laws and regulations or network standards; and

Video requirements and guidelines:
Video submissions must meet the following requirements/guidelines:
Running Time: Your video must be a minimum of two (2) minutes long but no longer than three (3) minutes. If video submission is longer than three (3) minutes only the first three minutes will be reviewed.
Maximum File Size: 100MB.
Video Formats: .WMV, .AVI, .MOV, and .MPG file formats.
The video must not contain brand names or trademarks other than Ben & Jerry’s image, brand name and trademarks.
No other person may appear in the video other than the Participant who is submitting the video.
3 - PANELISTS WILL RECEIVE:
If selected as an official Ben & Jerry’s Advisory Panellist (“Panellist”) Panellist will receive:
A 2 day/1 or 2 night trip to Datchet in Berkshire, UK on 24 & 25 April 2012 to participate in Ben & Jerry’s brand team meetings and activities and get an insider’s peek in to the company: taste new products, brainstorm flavour names and help create marketing programs. You will also receive £500 honorarium (awarded in the form of a cheque) which will be given at the workshop The trip includes: round trip standard economy train or airfare for Participant from a station or major commercial airport in UK (selected by Sponsor in its sole discretion) nearest Participant’s primary residence, up to two (2) nights standard hotel accommodations at a Sponsor-selected venue, and transfers to/from station or airport/hotel at Datchet only and to/from accommodation to Ben & Jerry’s offices in Datchet to participate in the various Panel Advisor Board events. Sponsor reserves the right to substitute air travel with train if a Panellist resides within one hundred fifty (150) miles of Datchet. The air travel or train, transfers and accommodation will be at the sole discretion of the Sponsor. Exact travel dates are determined at the sole discretion of the Sponsor. . The travel arrangements will be made by the Sponsor and the Participants shall not be entitled to any cash payment in lieu of the cost of transport or accommodation. Panellist is responsible for any and all taxes associated with the trip and the £500 honorarium. . Additional conditions of trip: should the transport involve air travel, Panellists’ must possess and are responsible for obtaining and must have valid passport or ID or other required documentation for such travel. No responsibility is assumed by Sponsor if the proper travel documents are not obtained by a Panellist by the date specified by Sponsor. Panellists’ are responsible for obtaining any travel insurance (and all other forms of insurance) that they may wish to obtain at their own expense and hereby acknowledges that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Panellists’ are bound by the terms and conditions of all airlines, train companies, hotels and other third party service providers used in connection with the trip. Sponsor is not responsible if tickets, etc are lost, stolen, or misplaced by a Panellist and will not be replaced or if booked transportations are missed for any reason. All other expenses not stated herein as part of the trip, including, but not limited to: hotel taxes, additional transfers, travel insurance, room service, bag check fees, parking fees, laundry service, food, beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges, are the Panellist’s sole responsibility. Exact dates and locations are subject to change, and are at the sole discretion of Sponsor. Specifics of trip are subject to availability and Sponsor’s sole discretion. Other restrictions may apply.
4 - REQUIREMENTS:
Participants will be required to:
Make a one (1) year commitment to be a member of the Ben & Jerry’s Advisory Panel Board.
Make one trip to Datchet (expenses included as stated above) to participate in the Advisory Panel workshop in April 2012 as detailed in Clause 3 above.
Allow Ben & Jerry’s team one (1) visit to Panelists’ home in UK to conduct in-market research with the Panellists. In-market research could include, but is not limited to, shopping with the Panellist and hosting an Ice Cream party in the Panellists home for the Panellist’s friends/family. Events will be at the expense of Ben & Jerry’s team and not the Panellist.
Review product concepts and marketing activation ideas and provide feedback to Ben & Jerry’s.
Be an active member of Advisory Board Group Facebook community and responding to requests within 1 week of them being posted
Panellist will forfeit their participation in the Advisory Panel if they (i) do not return the required Advisory Panellist Agreement; (ii) are not available or have the ability to travel on dates specified (currently planned for April 2012, (iii) cannot make a one year commitment to be on the Panel; and/or (iv) participate in ongoing activities (such as but not limited to participating in conference Advisory Board conference calls, providing feedback on concepts and ideas) in support of the Millennial Advisory Panel.
Sponsor in it sole discretion has the right to terminate this program and/or their relationship of any Panellist at any time during a Panellists’ one year tenure on the Advisory Panel Board should a Panellist be deemed to not be fulfilling their responsibilities.
5 - SELECTION PROCESS:
How does Sponsor select the Panellist?
You will be contacted on or about March 12, 2012 by email and/or telephone by a member of Ben & Jerry’s team and/or its program Administrator for a personal phone interview if you are determined to be a potential Panellist Candidate.
If you are selected as one (1) of the 12 Panelists you will be required to execute a Advisory Panellist Agreement which must be returned within seven (7) days of initial issuance of written notification. If such documents are not returned within the stated timeframe the corresponding Panellist will be disqualified and an alternate Panellist will be determined and notified.
6 - ELIGIBILITY:
Submitting an Application in this Program is open to persons who, as of their date of entry during the Application Period, are between the ages of 20 – 27 and who are British citizen resident in the United Kingdom at the time the application is made and throughout the duration of the time on the Advisory Board. Employees, officers, directors, agents, representatives and their immediate family members or residents in the same household (whether legally related or not) of Sponsor and its parent company, affiliates, subsidiaries, advertising and promotion agencies, legal and financial advisors, any and all other companies associated with this Program are not eligible to submit an application or otherwise participate in this Program. For purposes of this Program, "immediate family members" means parents, spouses, children, siblings, in-laws, grandmothers, or grandfathers.
7 - GENERAL CONDITIONS:
Decisions of the Sponsor are final and binding. The Sponsor nor its respective parent company, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, (collectively “Related Parties”) are responsible for incorrect or inaccurate information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access any web site, for problems uploading or downloading the Program Participation Application and/or Video materials from a web site, or for late, lost, damaged, misdirected, incorrect or incomplete entry.
Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend this Program or any portion hereof at any time for any or no reason, or to disqualify any individual implicated in any of the following actions, if for any reason: (a) infection by computer virus, bugs, tampering, unauthorized intervention, actions by Participants, fraud, technical failures, or any other causes which, in Sponsor’s opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, (b) the Program or any website associated therewith (or any portion thereof) becomes corrupted, or (c) the Program is otherwise not capable of running as planned. By entering, Participants agree to release and hold harmless Released Parties, from and against any and all claims, actions and/or liability for any violation of the Terms & Conditions by Participants (including any warranties made by Participants), any injuries or death, loss or damage of any kind arising from or in connection with participation in and/or submission of an Application into the Program or any acceptance to be a Panellist the on the Ben & Jerry’s Advisory Board. The Released Parties are not responsible or liable for any incorrect or inaccurate Application or Participant submitted information, and assume no responsibility for (i) any error, omission, interruption, defect or delay in operation or transmission at any website, (ii) failure of any Application to be received due to technical problems, human error or traffic congestion on the Internet or at any website, (iii) communications line, hardware and/or software failures, (iv) damage to any computer (software or hardware) resulting from participation in the Program, or (v) theft or destruction of, tampering with, unauthorized access to, or alteration of Application and/or information. By submitting an Application and/or being determined as an official Panellist, Participants agree to comply with these Terms & Conditions.
Additional Terms: By entering this Program, and to the extent allowed by law, Participants grant Sponsor, and each of its affiliates, licensees, promotional partners, and third party marketing entities the absolute right and permission to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, exploit, and use the content of and elements embodied in the Application Submission in perpetuity in any and all media, including but not limited to digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial or any other purposes without further review, notice, approval, consideration, or compensation. Participants waive and release Sponsor and each of its affiliates from any and all claims that Participants may now or hereafter have in any jurisdiction based on any claims, including but not limited to “moral rights” or “droit moral” or unfair competition with respect to Sponsor’s exploitation of Participant Program Applications without further notification or compensation to Participants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor and each of its affiliates, licensees, or any other person in connection with this Program, on the grounds that any use of any Application, or any derivative works, infringe or violate any of Participant’s rights therein. By entering this Program, Participants agree that the Sponsor and each of its affiliates, licensees, promotional partners, and third party marketing entities shall have the right and permission to use the name, picture, voice, biographical data, photograph, testimonial, or other likeness and/or prize information or personal exposition (and/or any edited portion thereof), and/or any information contained in his/her Application for promotional, advertising, and/or publicity purposes in any media, now or hereafter known, throughout the world in perpetuity, without compensation or notice to, or further consent of, to the Participant to the extent permitted by law. The Sponsor reserves the right, in its sole discretion, to disqualify any individual found tampering with the application process or otherwise interfering with the proper administration of the Program or violating these Official Terms & Conditions. EACH PARTICIPANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL TERMS & CONDITIONS, AGREES TO BE BOUND BY THE DECISIONS OF THE SPONSOR, WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS PROGRAM, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS SPONSOR AND ITS PARENT COMPANY, DIVISIONS, SUBSIDIARIES, AFFILIATES, ADVERTISING, PROMOTION, AND PUBLIC RELATIONS AGENCIES, AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENCIES OF EACH FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, OR MISUSE, WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELLING TO OR FROM ANY PROGRAM-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE PARTICIPANTS’ BREACH OR ALLEGED BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE PROGRAM, INCLUDING THESE OFFICIAL TERMS & CONDITIONS. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Each Participant hereby acknowledges and agrees that the relationship between the Participant and the Sponsor is not a confidential, fiduciary, or other special relationship, and that the Participant’s decision to participant in and provide content to Sponsor for purposes of the Program does not place the Sponsor in a position that is any different from the position held by members of the general public with regard to elements of the participation in the Program, other than as set forth in these Official Terms & Conditions. Each Participant acknowledges and agrees that such Participant will not be entitled to any compensation, other than as stated above in #3, as a result of Sponsor's use of any Participant’s materials submitted and/or used in the Program and/or developed as part of being a Panellist.
8 - PERSONAL DATA:
Personal information collected from Participants will be used in accordance with the Sponsors Privacy Policy located at http:// http://www.benjerry.co.uk/legalstuff/and in addition as otherwise set out in these Official Terms & Conditions for the purpose of administering this Program. Each Participant expressly consents to the use of his/her personal information for such purpose. The Sponsor will not sell, share, or otherwise disclose information collected in any manner with third parties, other than those parties necessary to fulfil the above purposes, unless Participant has given his/her prior express consent to receive additional information from the Sponsor or a third party.
